DESCRIPTION/BACKGROUND:
Windstream and its affiliates currently own and operate telecommunications infrastructure, including fiber optic and copper facilities, within Marion County's public right-of-way (ROW). Windstream is an indirect subsidiary of Uniti Group. Uniti is undertaking a corporate transaction to transfer certain Windstream Assets, customer contracts, and related agreements supporting those assets and services to its affiliate, Kinetic ABS FL LLC.
This registration notifies Marion County that the assets located within the County's public ROW will be transferred between affiliated corporate entities, specifically from Windstream to Kinetic, on or about June 1, 2026. Upon completion of the transaction, Kinetic will assume responsibility for the Assets located within the County's public ROW, including managing and maintaining the associated rights necessary to continue providing communications services and remitting the Florida Communications Services Tax to Marion County, if applicable.
The transaction is administrative in nature and is not expected to affect the day-to-day operation of the network or the services provided to customers.
